Welcome to apob.ai (the "Service"), an artificial intelligence platform operated by ATOMSTOBITS LABS INC., a Delaware corporation ("Company," "we," "us," or "our"). The Service allows users to create, customize, and generate multimedia content from artificial intelligence models ("AI Influencer Models") and to interact with AI Influencer Models created by other users.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," "your") and the Company. This agreement governs your access to and use of the Service, including any content, functionality, and services offered on or through apob.ai.
By accessing, browsing, creating an account on, or otherwise using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. This agreement includes and incorporates by reference our Privacy Policy, our Acceptable Use Policy, and any other policies, guidelines, or supplemental terms that we may make available to you from time to time. If you do not agree to all of these Terms, you must not access or use the Service. This agreement is effective from the moment you first access or use the Service. If you are using the Service on behalf of an entity or organization, you represent and warrant that you have the legal authority to bind that entity to this Agreement, and in such an event, "you" and "your" will refer to that entity.
The Service is a generative artificial intelligence platform designed for the creation and use of AI Influencer Models. The Service provides tools that enable users to: (a) design and develop unique, customizable AI characters, defining their appearance, voice, personality, and other characteristics ("AI Influencer Models"); (b) generate multimedia content, including but not limited to videos, images, and audio, from these AI Influencer Models ("Generated Content"); and (c) optionally, make their created AI Influencer Models available in a public-facing gallery for other users to view, interact with, and use to create their own Generated Content within the Service.
The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties or conditions of any kind, either express or implied. To the fullest extent permissible by law, ATOMSTOBITS LABS INC. disclaims all warranties, including, without limitation, any implied warranties or conditions of title, non-infringement, merchantability, or fitness for a particular purpose. We are constantly developing and improving the Service, which means the Service is subject to modification and change without notice, including but not limited to the algorithms used to generate content, the features available to you, and the visual or auditory style of the Generated Content.
We make no guarantees with respect to the Service's quality, stability, uptime, or reliability. You acknowledge and agree that you should not create any dependencies on any attributes of the Service or the content it produces. ATOMSTOBITS LABS INC. will not be liable to you or any third party for any harm, loss, or damages caused by your dependency on the Service.
You understand and agree that the Service utilizes complex and novel artificial intelligence systems that may not always work as expected. Generated Content may sometimes be inaccurate, incomplete, offensive, or unreliable, and it does not represent the views of ATOMSTOBITS LABS INC.. You are solely responsible for determining the appropriateness of using or redistributing any Generated Content and you assume any and all risks associated with your use of the Service.
You must not rely on the Service for medical, legal, financial, or other professional advice. Any content generated on such topics is for informational purposes only and is not a substitute for advice from a qualified and licensed professional. You are responsible for manually reviewing all Generated Content before relying on it or sharing it.
ATOMSTOBITS LABS INC. reserves the right to modify, suspend, or discontinue, temporarily or permanently, the Service or any part thereof, with or without notice, at our sole discretion. You agree that we will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.
By accessing or using the Service, you confirm that you are at least 13 years old and meet the minimum age required for digital consent in your country of residence. If you are between the age of 13 and the age of legal majority in your jurisdiction, you may only use the Service under the supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf. If you are a parent or legal guardian allowing a minor to use the Service, these Terms apply to you, and you are fully responsible for the minor's activity on the Service. The Service is not intended for children under 13, and any use by such individuals without direct adult supervision is strictly prohibited.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your account. We encourage you to use a "strong" password (a password that uses a combination of upper and lower case letters, numbers, and symbols) with your account. You must notify ATOMSTOBITS LABS INC. immediately upon becoming aware of any breach of security or unauthorized use of your account.
To prevent fraud and abuse of the Service, you may not maintain more than one active account. Each user of the Service may only have one account. We reserve the right to suspend or terminate any duplicate accounts.
You are solely responsible for all content you submit to the Service (including but not limited to text, images, sounds, video, or other data). You agree not to submit any content that: (i) infringes any intellectual property or other proprietary rights of any party ; (ii) you do not have a right to submit; (iii) contains software viruses or any computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment ; (iv) poses a privacy or security risk to any person ; (v) constitutes unsolicited or unauthorized advertising, promotional materials, commercial activities, "junk mail," "spam," or any other form of solicitation ; (vi) is threatening, abusive, harassing, tortious, or bullying ; (vii) is excessively violent, promotes self-harm, or glorifies suicide ; (viii) is defamatory, libelous, or verifiably false with the purpose of harming others ; (ix) constitutes hate speech that demeans or promotes discrimination or violence on the basis of race, ethnicity, gender, religion, age, or other protected characteristics ; (x) is obscene, pornographic, or contains or promotes Child Sexual Abuse Material (CSAM) ; (xi) promotes terrorism, violent extremism, or furthers any other criminal activity ; (xii) seeks to provide medical, legal, financial, or other regulated professional advice ; (xiii) interferes with or disrupts the Services or servers or networks connected to the Services ; (xiv) interferes with or appropriates any person’s right of publicity by using their name, likeness, voice, or persona without their explicit, verifiable consent ; (xv) is created for the purpose of political campaigning or to deceptively influence an election ; or (xvi) in the sole judgment of ATOMSTOBITS LABS INC., is objectionable or that restricts or inhibits any other person from using or enjoying the Services.
You likewise agree not to do any of the following in connection with your use of the Services: (i) violate any applicable local, state, national, or international law or regulation ; (ii) impersonate any person or entity, or otherwise misrepresent your affiliation with a person or entity in a deceptive manner ; (iii) solicit personal information from anyone under the age of 18 ; (iv) harvest or collect email addresses or other contact information of other users from the Services by electronic or other means; (v) obtain or attempt to obtain any information through any means not intentionally made available or provided for through the Services; (vi) lease, lend, sell or sublicense any part of the Services ; (vii) attempt to bypass, disable, or otherwise circumvent any of our safety filters or content moderation systems ; or (viii) reverse engineer, disassemble, decompile, decode, adapt, or otherwise attempt to derive or gain access to any Services source code, in whole or in part.
We reserve the right to investigate and take appropriate action against anyone who we conclude, in our sole discretion, has violated these conditions. That action may include, without limitation, restricting the visibility of content, suspending or removing content from the Services, suspending or terminating your account, and reporting you to law enforcement officials. We use automated and manual measures to help identify activities that may be illegal (such as CSAM) or otherwise fail to comply with these Terms. You can report content that you believe violates these terms by using the reporting features within the service or by contacting our support team.
When you submit content to the Service, such as text prompts, images, or audio files ("User Input"), you represent and warrant that you own all right, title, and interest in and to that content, or that you have received all necessary permissions, clearances, and authorizations to submit it to the Service for the uses contemplated in these Terms.
When you submit such content, you retain whatever ownership rights in that content you had to begin with. You grant ATOMSTOBITS LABS INC., to the fullest extent permitted under the law, a nonexclusive, worldwide, royalty-free, fully paid up, transferable, sublicensable, perpetual, irrevocable license to copy, display, upload, perform, distribute, transmit, make available, store, modify, and otherwise use the content for any apob.ai-related purpose in any form, medium or technology now known or later developed, including without limitation to operate, improve, and provide the Services. You agree that these rights and licenses also include a right for ATOMSTOBITS LABS INC. to make the content available to, and pass these rights along to, others with whom we have contractual relationships (such as third-party service providers), and to otherwise permit access to or disclose the content to third parties if we determine such access is necessary or appropriate.
While we’re not required to do so, we may access, review, screen, and delete your content at any time and for any reason, including to provide and develop the Services or if we think the content violates these Terms or any applicable laws.
When you create an AI Influencer Model or generate any other content using the Services, such as videos, images, or audio ("Generated Content"), then as between you and ATOMSTOBITS LABS INC., you own all rights in that AI Influencer Model and Generated Content, to the fullest extent permitted by applicable law. Your ownership is subject to the rights of any third parties (for example, if your User Input contained third-party copyrighted material) and the licenses you grant herein.
You grant ATOMSTOBITS LABS INC., to the fullest extent permitted under the law, a nonexclusive, worldwide, royalty-free, fully paid up, transferable, sublicensable, perpetual, irrevocable license to copy, display, upload, perform, distribute, transmit, make available, store, access, modify, and otherwise use the AI Influencer Model and all Generated Content for any purpose in any form, medium or technology now known or later developed, including but not limited to (i) facilitating other users’ ability to interact with any AI Influencer Model you make public and elicit Generated Content; (ii) promoting the Services on- or off-service; and (iii) taking all of the actions set forth above under the section entitled “Content You Submit.”
You acknowledge and agree that the Services may contain content or features protected by copyright, patent, trademark, trade secret or other proprietary rights and laws. In connection with your use of the Services you will not engage in or use any data mining, robots, scraping or similar automated data gathering or extraction methods. If you are blocked by us from accessing the Services (including by blocking your IP address), you agree not to implement any measures to circumvent such blocking. Any use of the Services or content on the Services other than as specifically authorized herein is strictly prohibited. Any rights not expressly granted herein are reserved by us.
The apob.ai and ATOMSTOBITS LABS INC. names and logos are trademarks of ATOMSTOBITS LABS INC. (collectively the “Company Trademarks”). Other trademarks used and displayed via the Services may be trademarks of their respective owners who may or may not endorse or be affiliated with or connected to us. Nothing in these Terms or the Services should be construed as granting any license or right to use any of Company Trademarks without our prior written permission in each instance.
Under no circumstances will ATOMSTOBITS LABS INC. be liable for any content or materials of any third parties, including AI Influencer Models created by third parties and any Generated Content. This includes, but is not to, infringement of intellectual property rights, errors or omissions in any content, and any loss or damage of any kind incurred as a result of the use of any such content. You acknowledge that we do not pre-screen content and that AI-generated content, by its nature, is unpredictable and may produce Generated Content that is inaccurate or offensive. You agree that you must evaluate, and bear all risks associated with, the use of any content or Generated Content. You should not rely on the accuracy or completeness of statements made in content or Generated Content, and if you do so, you acknowledge that it is at your own risk.
You acknowledge that we have the right (but not the obligation) in our sole discretion to refuse or remove any content (including AI Influencer Models and Generated Content) that is available via the Services. Without limiting the foregoing, we have the right to remove any content that violates these Terms or is deemed otherwise objectionable by us, in our sole discretion.
You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information about the Services provided by you to ATOMSTOBITS LABS INC. are non-confidential, and that we are entitled to use and disseminate them for any purpose, without acknowledgment of or compensation to you.
You acknowledge and agree that we may preserve content and metadata in compliance with applicable law and our Privacy Policy. You acknowledge and agree that we may disclose content and/or metadata if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process, applicable laws or government requests; (b) enforce these Terms; (c) respond to claims that any content violates the rights of third parties; or (d) protect the rights, property, or personal safety of ATOMSTOBITS LABS INC., its users and the public.
ATOMSTOBITS LABS INC. respects the intellectual property of others, and we ask our users to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, or that your intellectual property rights have been otherwise violated, you can notify us of your infringement claim.
ATOMSTOBITS LABS INC. will process and investigate notices of alleged infringement and will take appropriate actions under the Digital Millennium Copyright Act (“DMCA”) and other applicable intellectual property laws with respect to any alleged or actual infringement. To be effective, the notification must be in writing and contain the required information as outlined in the DMCA.
For complaints regarding trademark infringement or violations of the right of publicity, which are not governed by the DMCA, please use our designated reporting channel or contact our agent listed above. While the legal process differs from that of copyright, we will investigate all such claims and, in our sole discretion, take appropriate action, which may include removing the allegedly infringing content and notifying the user who posted it.
If you purchase any Services, you will provide complete and accurate billing information, including a valid payment method. For paid subscriptions, we will automatically charge your payment method on each agreed-upon periodic renewal until you cancel. You are responsible for all applicable taxes, and we’ll charge tax when required. If your payment cannot be completed, we may downgrade your account or suspend your access to our Services until payment is received.
You can cancel your paid subscription at any time. Payments are generally non-refundable, except where required by law. However, you may be eligible for a full refund if you request it within seven (7) days of your initial purchase and have used fewer than 1,000 credits. These Terms do not override any mandatory local laws regarding your cancellation rights.
We may change our prices from time to time. If we increase our subscription prices, we will give you at least 30 days’ notice and any price increase will take effect on your next renewal so that you can cancel if you do not agree to the price increase. Please note the features and functionality of our paid Services are often dynamic and may be subject to change at any time without prior notice.
YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE AND ALL CONTENT THEREIN ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ATOMSTOBITS LABS INC. EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ATOMSTOBITS LABS INC., ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.
UNDER NO CIRCUMSTANCES WILL ATOMSTOBITS LABS INC. BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICE OR YOUR ACCOUNT OR THE INFORMATION CONTAINED THEREIN.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ATOMSTOBITS LABS INC. ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO OR USE OF OUR SERVICE; (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN; (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE; (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH OUR SERVICE BY ANY THIRD PARTY; AND/OR (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE SERVICE.
IN NO EVENT SHALL ATOMSTOBITS LABS INC.'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNTS PAID BY YOU TO ATOMSTOBITS LABS INC. FOR THE SERVICE IN THE 12 MONTHS PRIOR TO THE CLAIM.
This paragraph applies if you are located in the European Economic Area: No exemption from liability applies to damages insofar as these are based on a breach of a cardinal contractual obligation or on intentional or grossly negligent behavior on our part or our legal representatives or employees. If we breach a cardinal contractual obligation only through slight negligence, our liability is limited to the foreseeable typical damage. The liability for culpable injury to life, body, or health remains unaffected.
You are solely responsible for your interactions with other users. We reserve the right, but have no obligation, to monitor disputes between you and other users. ATOMSTOBITS LABS INC. shall have no liability for your interactions with other users, or for any user's action or inaction.
You agree to defend, indemnify, and hold harmless ATOMSTOBITS LABS INC. and its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Service or your use of the Service.
The Service may integrate with or rely on services, application programming interfaces (APIs), or technology provided by third-party service providers (e.g., for cloud hosting, payment processing, or underlying AI model functionality). You acknowledge that in order to provide the Service, we may need to share your User Input and other data with these third parties. Your use of the Service constitutes your consent to the transfer of such data to these third parties, which may be located in jurisdictions with different data protection laws than your own. Our handling and sharing of personal data are governed by our Privacy Policy, which you are encouraged to review.
These Terms and any dispute or claim arising out of, or related to them, shall be governed by and construed in accordance with the internal laws of the State of Delaware and the applicable federal laws of the United States, without giving effect to any choice or conflict of law provision or rule.
If you are a consumer in the European Economic Area, these Terms are governed by the laws of the country of your habitual residence, without regard to its conflicts of law provisions. If you are a consumer and have your habitual residence in the EU, you enjoy the protection afforded to you by the mandatory provisions of the law of your country of residence. You and ATOMSTOBITS LABS INC. agree to submit to the non-exclusive jurisdiction of the courts of Delaware. This means that you may bring a claim to enforce your consumer protection rights in connection with these Terms in Delaware or in the member state of the European Economic Area in which you live.
We are neither willing nor obligated to participate in dispute resolution proceedings with consumers before a consumer arbitration board under the EU Directive on Consumer ADR.
At the Company's sole discretion, it may require you to submit any disputes arising from these Terms or use of the Service, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Delaware law.
YOU AND ATOMSTOBITS LABS INC. AGREE THAT ANY PROCEEDINGS TO RESOLVE OR LITIGATE ANY DISPUTE WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS. NEITHER YOU NOR ATOMSTOBITS LABS INC. WILL SEEK TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION, A REPRESENTATIVE ACTION, A COLLECTIVE ACTION, A PRIVATE ATTORNEY-GENERAL ACTION, OR IN ANY PROCEEDING IN WHICH YOU OR ATOMSTOBITS LABS INC. ACTS OR PROPOSES TO ACT IN A REPRESENTATIVE CAPACITY.
This agreement will remain in full force and effect while you use the Service. You may terminate your account at any time. We may suspend or terminate your access to the Service at any time, for any reason, including for any breach of these Terms, at our sole discretion and without prior notice or liability. Provisions that by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
If you are suspended or your account is terminated from the Services, or content which you generate, upload, or share is removed from the Services, or access to it is restricted, in breach of these Terms of Service, you have a right to bring proceedings for breach of contract if granted under local law.
You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or these Terms must be filed within one year after such claim or cause of action arose or be forever barred.
The following clause applies if you are located in the European Economic Area: The above expiration of claims does not apply insofar as claims are based on a breach of a cardinal contractual obligation or on intentional or grossly negligent behavior on our part or our legal representatives or employees. The liability for culpable injury to life, body, or health remains unaffected.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. The failure of the Company to enforce any right or provision of these Terms will not be considered a waiver of those rights. These Terms constitute the entire agreement between you and ATOMSTOBITS LABS INC. regarding our Service and supersede and replace any prior agreements we might have between us regarding the Service.
